Employer Supplemental Terms of Use

These Employer Supplemental Terms supplement and are incorporated by reference into the Lanyard Terms of Use. Please read both documents carefully.

These Employer Supplemental Terms ("Employer Terms") supplement and are incorporated by reference into the Lanyard Terms of Use ("Terms of Use"). These Employer Terms govern your use of the Lanyard Platform specifically as an Employer. Capitalized terms not defined in these Employer Terms have the meaning given to them in the Terms of Use.

By accepting these Employer Terms, you acknowledge that you have read, understand, and agree to be bound by both these Employer Terms and the Terms of Use. In the event of any conflict between these Employer Terms and the Terms of Use, these Employer Terms will prevail with respect to subject matter specific to Employers.

By using the Services or making any Payment for the Services, you:

1. Agree to these Employer Terms on behalf of the organization, company, or other legal entity for which you act ("Employer"); and
2. Represent that you have the authority to bind Employer to these Employer Terms.

If you do not have such authority, or if you do not agree with these Employer Terms, you must not accept these Employer Terms or use the Services.

1. Employer-Specific Services

a. Housing Request Process

Lanyard will use commercially reasonable efforts to locate and present Housing Units and connect Employer with applicable Suppliers in response to Employer's Housing Request Summary. Employer may submit Housing Requests through the Platform to specify its corporate housing needs, including location, duration, number of units, and other relevant criteria.

b. Ancillary Products and Services

Lanyard may be asked to procure furniture rentals, furniture packages, assembly and moving services, cleaning services, soft goods packages, or other ancillary products or services by Employer. All ancillary products and services include delivery, tax and Lanyard fees, are non-refundable and must be paid for in full upfront. Lanyard is not responsible for accepting deliveries, assembly, setup or disposal of furniture or soft goods. Furniture, bed, bathroom and other soft goods packages including delivery, tax, assembly, receiving and fees related thereto are non-refundable and must be paid in full at the time of order. Furniture rental is through a third-party provider. Delivery date will be confirmed after the order has been placed. Product is subject to availability. An itemized list of furniture and soft goods will be provided. Lanyard hereby expressly disclaims all warranties, express or implied, regarding the furniture and soft goods, including merchantability and fitness for any particular purpose. Employer agrees to use the Rental Items with due care and keep them in good condition. The Rental Items shall remain in custody of the Employer and the Employer shall not sell, sublease, or otherwise transfer possession of the Rental Items. Any damages beyond normal wear and tear shall be the responsibility of the Employer, and repair or replacement costs shall be deducted from the security deposit. Employer shall be liable for any damage, loss, or theft of the Rental Items. Lanyard shall not be responsible for any injury or damages caused by the use of the Rental Items.

2. Employer-Specific Use Restrictions and Responsibilities

a. Personnel Responsibility

Employer acknowledges and agrees that it is responsible for all acts and omissions of its personnel or other Housing Unit occupants, as if such acts or omissions were committed by Employer itself. If a Supplier notifies Lanyard (or Lanyard otherwise determines, in its sole discretion) that Employer or one of its personnel has violated the Rental Agreement or any other rules and regulations of Supplier, Lanyard reserves the right to immediately terminate Employer's Account and access to the Platform.

3. Employer-Specific Payment Terms

a. Sourcing Fee

Lanyard reserves the right to charge Employers a fee in connection with any given housing request ("Sourcing Fee"). If Employer engages in good faith discussions with one or more Suppliers in connection with such request within 60 days following payment of the applicable Sourcing Fee ("Sourcing Period"), Employer will be issued a non-transferable and non-exchangeable credit toward the total rent of the applicable Housing Unit, equal to the Sourcing Fee and applied to the upfront deposit paid for such Housing Unit. Otherwise, Lanyard will not refund or otherwise credit the Sourcing Fee; provided, if Employer fails to engage in discussions because no Supplier responds to the request within the Sourcing Period, the Sourcing Fee will be refunded to the Customer within 60 days from the end of the Sourcing Period.

b. Service Fee

For each executed Rental Agreement, the applicable Employer will pay the total amount invoiced through the Platform. This total amount includes (i) the full rental rate that is remitted to the Supplier and (ii) Lanyard's Service Fee. The Service Fee is calculated as a percentage (up to 25%) of the total amount invoiced and is added to the Supplier's rental rate. The Supplier receives the full rental rate as provided to Lanyard for the Housing Unit.

As between you and Lanyard, Lanyard reserves the right to establish, remove and/or revise Service Fees for any or all services obtained through the use of the Services at any time in Lanyard's sole discretion. Lanyard will use reasonable efforts to inform you of fees that may apply, provided that you will be responsible for fees incurred under your Account regardless of your awareness of such fees or the amounts thereof.

If a Supplier executes an agreement that would be considered a "Rental Agreement" within three (3) months following the expiration or earlier termination of this Agreement with an Employer who Lanyard introduced to the Supplier via the Platform, or by the end of such three (3) month period, Supplier and an Employer have come to agreement in substantially final form that is later executed at any time, the applicable Service Fee shall be paid to Lanyard upon execution.

c. Ancillary Service Fee

Lanyard works with third-party providers to offer products and services including but not limited to furnishing, delivery services, cleaning services, soft goods, utility setup and bed packages. Lanyard charges an Ancillary Service Fee of up to 40% of the total cost of the product or service. Unless otherwise specified, Lanyard is not responsible for accepting deliveries, assembly, setup or disposal of products or services. Except as otherwise specified, ancillary services and products, including delivery, tax, assembly, receiving and fees related thereto are non-refundable and must be paid in full at the time of order. Products are subject to availability. Lanyard hereby expressly disclaims all warranties, express or implied, regarding the furniture and soft goods, including merchantability and fitness for any particular purpose. Employer agrees to use the Rental Items with due care and keep them in good condition. d. Payment Setup Fee

Lanyard may charge a Payment Setup Fee in connection with each booking to cover administrative and transactional costs associated with facilitating payments to housing partners, including but not limited to procuring and delivering cashier's checks, coordinating move-in cost payments (such as security deposits, first month's rent, and related charges), and shipping and handling expenses.

For standard processing, the Payment Setup Fee shall be Two Hundred and Fifty Dollars ($250.00) per booking, which includes the cost of shipping and delivery of payment instruments.

All Payment Setup Fees are non-refundable and are due at the time of invoicing unless otherwise specified by Lanyard.

e. Late Payment Fee

Lanyard reserves the right to impose a Late Payment Fee in connection with any invoice that includes Rent, which remains unpaid for more than six (6) days after the applicable due date. The Late Payment Fee shall be One Hundred Fifty Dollars ($150.00) per invoice, which amount may be modified by Lanyard upon written notice to Employer.

f. Cancellation Fee

Cancellation and early termination policies per the Supplier will be disclosed on the portal when Housing Units are shared on the Lanyard Platform with the Employer.

Cancellation Prior to Move-In

Any booking cancelled prior to move-in will incur an Early Cancellation Fee of $500.00. If the Employer has paid a Sourcing Fee, such Sourcing Fee may be applied toward the Early Cancellation Fee. If no Sourcing Fee has been paid, Lanyard will invoice the Employer for the Early Cancellation Fee.

For the avoidance of doubt, the Early Cancellation Fee is separate from and in addition to any cancellation fee charged by the Supplier.

Cancellation Within 30 Days After Move-In

Any booking cancelled within thirty (30) days following move-in will incur a Cancellation Fee of $250.00 per room or unit.

For the avoidance of doubt, this Cancellation Fee is separate from and in addition to any cancellation or early termination fee charged by the Supplier.

Early Termination of a Rental Agreement

If the Employer properly terminates a Rental Agreement prior to the expiration of its term in accordance with the terms of such Rental Agreement, the Employer shall continue to pay Lanyard's Service Fee for the period beginning on the date notice of termination is delivered to the Supplier and ending on the effective termination date of the Rental Agreement.

For the avoidance of doubt, the Service Fee remains payable on any rental buyout amount, remarketing fee, and termination fee.

g. Payment Collection Authorization

As part of registering or submitting information to receive Paid Services, you also authorize Lanyard (either directly or through its affiliates, service providers, or other third parties) to request and collect payment and service fees, and otherwise charge, refund or take any other appropriate billing actions, through our payment provider or your designated bank account, and to make any inquiries Lanyard may consider necessary to validate your designated payment account or financial information, in order to ensure prompt payment, including for the purpose of receiving updated payment details from your payment, credit card or banking account provider.

4. Non-Contravention

In and for valuable consideration, Employer hereby agrees that Lanyard may introduce (whether by written, oral, data, or other form of communication) Employer to one or more Suppliers. For the duration of this Agreement and until the date that is one year after the termination of this Agreement, neither the Employer nor its agents and/or affiliates will directly or indirectly solicit or enter into any transaction with a Supplier introduced by Lanyard without payment to Lanyard of the compensation to be paid to Lanyard hereunder. In the event that Employer breaches this Section of the Agreement, Lanyard shall be entitled to receive compensation of 15% of total aggregate rent to be paid to Lanyard by Employer hereunder.
