Lanyard Supplier Supplemental Terms
Effective Date: October 10, 2025
These Supplier Supplemental Terms ("Supplier Terms") supplement and are incorporated by reference into the Lanyard Terms of Use ("Terms of Use"). These Supplier Terms govern your use of the Lanyard Platform specifically as a Supplier. Capitalized terms not defined in these Supplier Terms have the meaning given to them in the Terms of Use.
By accepting these Supplier Terms, you acknowledge that you have read, understand, and agree to be bound by both these Supplier Terms and the Terms of Use. In the event of any conflict between these Supplier Terms and the Terms of Use, these Supplier Terms will prevail with respect to subject matter specific to Suppliers.
You accept these Supplier Terms by using or making any payment for the Services, or by otherwise indicating your acceptance of these Supplier Terms. By accepting these Supplier Terms, you:
- Agree to these Supplier Terms on behalf of yourself, the organization, company, or other legal entity for which you act ("Supplier"); and
- Represent that you have the authority to bind Supplier to these Supplier Terms.
If you do not have such authority, or if you do not agree with these Supplier Terms, you must not accept these Supplier Terms or use the Services.
1. Supplier-Specific Responsibilities
a. Listing Information
Supplier is solely responsible for the accuracy of all information related to their Housing Units that they provide to Lanyard through any communication channel, including phone calls, emails, website content, or other means ("Listing Information"). Lanyard may collect and input such information onto its property management system. Listing Information may include details relating to price, availability, or other charges such as cleaning fees, resort fees, and any rules or requirements applicable to the Housing Unit. Supplier hereby represents and warrants that all Listing Information provided is current, complete, and accurate.
b. No Endorsement
Supplier agrees not to do anything that would reasonably be expected to create a false impression that Supplier is endorsed by, partnering with, or acting on behalf of or for the benefit of Lanyard, including by inappropriately using any Lanyard intellectual property.
c. Legal Compliance for Listings
Supplier is responsible for and agrees to abide by all laws, rules, ordinances, or regulations applicable to the listing of their Housing Units and the conduct of their rental business, including but not limited to all laws, rules, ordinances, regulations or other requirements relating to taxes, credit cards, data and privacy, permits or license requirements, zoning ordinances, safety compliance, and compliance with all anti-discrimination and fair housing laws, as applicable.
d. Information Disclosure
Please be aware that, even though Lanyard is not a party to any Rental Agreement and assumes no liability for legal or regulatory compliance pertaining to properties listed on the Lanyard Platform, there may be circumstances where Lanyard is nevertheless legally obligated (as Lanyard may determine in its sole discretion) to provide information relating to Supplier's listing in order to comply with requests from governmental bodies in relation to investigations, litigation or administrative proceedings, and Lanyard may choose to comply with such obligations in Lanyard's sole discretion.
2. Supplier Marks
Supplier hereby grants Lanyard a worldwide, non-exclusive, sublicensable (to Lanyard's third-party service providers) license during the Term to copy, reproduce, use, modify (at Supplier's direction), resize, and publish Supplier's trademarks, service marks, and trade names ("Supplier Marks") solely as necessary to provide the Services as contemplated under this Agreement. Lanyard will comply with any trademark usage policies that Supplier may provide. All goodwill arising from Lanyard's use of the Supplier Marks will inure solely to Supplier's benefit.
3. Supplier-Specific Payment Terms
a. Fees and Payment
For each executed Rental Agreement, the applicable Employer will pay the total amount invoiced through the Platform. This total amount includes:
- the full rental rate that is remitted to the Supplier,
- any additional fees including application fee, administration fee, or cleaning fee that are remitted to the Supplier,
- utilities that are remitted to the Supplier, and
- Lanyard's Service Fee.
The Service Fee is calculated as a percentage (up to 25%) of the total amount invoiced and is added to the Supplier's rental rate. Supplier hereby appoints Lanyard as Supplier's limited payment collection agent solely for the purpose of accepting funds from Employers. Lanyard may remit the Supplier's portion of payment via the Supplier property management system or payments platform. The Supplier receives the full rental rate as provided for the Housing Unit.
4. Supplier-Specific Warranties
Supplier further represents and covenants that:
- It owns and/or has all necessary rights and authority to offer for rent and to rent each Housing Unit;
- It will not wrongfully withhold a rental deposit in breach of the underlying Rental Agreement;
- It will accurately describe Housing Units, will not fail to disclose a material defect in, or material information about, Housing Units and will upon request, or otherwise from time to time, review the property listing content and location or geographic description to ensure it is accurate and not misleading;
- It will not wrongfully deny access to Housing Units; and
- It will comply with the Anti-Discrimination Policy set forth below, and otherwise not discriminate on the basis of race, color, religion, sex (including pregnancy, sexual orientation, or gender identity), national origin, disability, age, genetic information (including family medical history) or other protected categories.
5. Insurance Requirements
Supplier agrees to obtain and maintain throughout the Term, Commercial General Liability Insurance covering bodily injury and property damage, products and completed operations, and personal and advertising liability, insuring the activities of Supplier under this Agreement, with limitations of liability not less than US $1,000,000 per occurrence and US $2,000,000 in the aggregate.
6. Anti-Discrimination Policy
a. Race, Color, Ethnicity, National Origin, Religion, Sexual Orientation, Gender Identity, or Marital Status
Supplier may not, in connection with these Supplier Terms or the Agreement:
- Decline a booking for any Housing Unit based on any actual or perceived disability;
- Impose any different terms or conditions based on the fact that the guest has a disability;
- Substitute its own judgment about whether a unit meets the needs of a person with a disability for that of such person;
- Inquire about the existence or severity of a person's disability, or the means used to accommodate any disability, unless such person raises his or her own disability;
- Prohibit or limit the use of mobility devices;
- Charge more fees for persons with disabilities, including pet fees when such person has a service animal;
- Post any listing or make any statement that discourages or indicates a preference for or against any person on account of the fact that such person has a disability;
- Refuse to communicate through accessible means that are available, including relay operators (for people with hearing impairments) and e-mail (for people with vision impairments using screen readers); or
- Refuse to provide reasonable accommodations, including flexibility when a person with a disability requests modest changes in Supplier rules.
